Berlin, May 15, 2009 – At the Annual General Meeting of the Shareholders of Beta Systems Software AG (BSS, ISIN DE0005224406), which took place on May 15, 2009 , in Berlin, the Management Board and the Supervisory Board were discharged with regard to the fiscal year 2008. KPMG AG Wirtschaftsprüfungsgesellschaft, Berlin, was mandated as independent auditor for the fiscal year 2009. Moreover, the Management Board was authorized to acquire and dispose of the Company’s own shares, and the Articles of Association were amended with respect to possible pending changes in legislation. The Control and Profit Transfer Agreement with SI GmbH was also approved.
The application by the Administration for a resolution on the creation of new Authorized Capital 2009 did not meet with the required majority in the Annual General Meeting of Shareholders.
